Terms of Service
These Terms of Service ("Terms") govern your access to and use of JobTick ("the Service"), operated by Clearstack Labs ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
JobTick is a job monitoring platform for Ruby on Rails applications. It provides silent-failure detection, alerting, and run-history dashboards for scheduled jobs. Features available to you depend on your subscription plan.
2. Accounts
You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials. You are responsible for all activity that occurs under your account.
You must be at least 16 years old to use the Service. By agreeing to these Terms, you represent that you meet this requirement.
One account is required per organisation. You may invite team members up to the seat limit of your plan.
3. Free trial
New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial, alerting pauses until a paid subscription is activated. We will send reminder emails before and when the trial expires.
4. Subscriptions and payment
Paid subscriptions are billed in advance on a monthly or annual basis. All prices are in Euros (EUR) and exclude VAT where applicable. VAT will be added for customers in the European Union where required by law.
Payments are processed by Stripe. By subscribing, you authorise us to charge your payment method on the applicable billing cycle. If a payment fails, we will retry and notify you. Accounts with outstanding balances may be restricted.
Annual subscriptions are non-refundable after 14 days. Monthly subscriptions are non-refundable for the current billing period. If you believe you were charged in error, contact us within 30 days at [email protected].
5. Plan changes and cancellation
Upgrades take effect immediately. You are charged a prorated amount for the remainder of the billing period.
Downgrades take effect at the start of the next billing period. If your current usage exceeds the limits of the lower plan, excess resources (projects, seats) will be removed after a 24-hour grace period.
Cancellation takes effect at the end of the current billing period. You retain full access until then. We do not charge cancellation fees.
You can manage your subscription from the billing page in your account settings.
6. Acceptable use
You may not use the Service to:
- Violate any applicable law or regulation
- Infringe intellectual property rights of any party
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorised access to the Service or its infrastructure
- Resell or sublicense access to the Service without our written consent
- Conduct denial-of-service attacks or send unreasonable volumes of API requests
- Scrape, reverse-engineer, or decompile the Service
We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.
7. API and SDK usage
The JobTick gem and API are provided for the purpose of integrating your Rails application with the Service. API keys are confidential — do not commit them to public repositories. We may rate-limit API requests to ensure fair use.
8. Data and privacy
Our handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of the monitoring data you send to the Service. We process it only to provide the Service.
9. Service availability
We aim for high availability but do not guarantee any specific uptime SLA on current plans. We will make reasonable efforts to notify you in advance of planned maintenance. We are not liable for losses arising from downtime or service interruptions.
10. Intellectual property
The Service, including its software, design, and content, is owned by Clearstack Labs and protected by intellectual property law. These Terms do not transfer any ownership rights to you. The open-source jobtick gem is licensed separately under its own licence (see the GitHub repository).
11. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or free from security vulnerabilities. Your use of the Service is at your own risk.
12. Limitation of liability
To the maximum extent permitted by applicable law, Clearstack Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Clearstack Labs from any claims, damages, or costs (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
14. Governing law
These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vilnius, Lithuania, unless mandatory local consumer law provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by email and in-app notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
